The New Article 83 (Trade Secret Agreement) of the Saudi Labor Law

Article 83 is one of the 38 new amendments in the Saudi Labor Law. The Amendments were approved by HRH King Salman by Royal Decree no. D/46 dated 5/6/1436H., corresponding to 25/3/2015G. and came into force on 18 October 2015

Basahin muna natin yong lumang Article 83

Article (83): (Old)
If the work assigned to the worker allows him to get acquainted with the employer’s customers, or to have access to his trade secrets, the employer may require the worker in the
contract not to compete with him or reveal his business secrets upon expiration of the contract. For this condition to be valid, it shall be in writing and specific in terms of time, place
and type of work and to the extent required to protect the legitimate interests of the employer. In all cases, the duration of such agreement shall not exceed two years from the
date of termination of the relationship between the two parties.

Then basahin din natin ang Amendment ng Article 83

Article (83): (Amendment)

  1. If the work assigned to the worker allows him to get acquainted with the employer’s customers, the employer (to protect his interests) may require the worker (in the contract) NOT to work with any competitor. This condition must be valid and specific, from time, place, type of work, and must not exceed two years from the date of the relationship between the parties.
  2. If the work assigned to the worker allows him to have access to the employer’s business secrets, the employer (to protect his interests) may require the worker (in the contract) NOT to reveal his business secrets to any other third party. This condition must be valid and specific, from time, place and type of work.
  3. The employer shall have the right to sue his (former) worker within one (1) year after he discovers that the worker violated the contract based on the above conditions of this Article.

Ano ang pagkakaiba ng New Article 83 vs Old Article 83?

  • Sa lumang Article 83, magkasama sa trade secret agreement ang conditions na “not to work with any competitor” at “not to reveal the business secrets” sa loob ng dalawang (2) taon pagkatapos ng contract ng employer at worker.
  • Sa bagong Article 83, pinaghiwalay na ang dalawang conditions; ang condition na “not to work with any competitor” ay sa loob ng dalawang (2) taon habang ang condition na “not to reveal the business secrets” ay walang limit.

Magbigay ng halimbawa na pwede masabi na ang bagong employer ay competitor sa dating employer.

  1. dati kang nagwork as cashier or waiter sa isang restaurant sa Riyadh.. then bumalik ka ng saudi para magwork sa ibang restaurant na nasa Riyadh din.
  2. dati kang nagwork sa isang tailoring shop sa Riyadh na nagsupply ng damit sa buong KSA at bumalik ka ng Saudi para magwork sa isang tailoring shop sa Jeddah na nagsupply din ng damit sa buong KSA.
  3. dati kang beautician sa isang parlor sa Riyadh at bumalik ka ng Saudi para magwork sa ibang parlor na nasa Riyadh din.

Magbigay naman ng halimbawa na pwede masabi na ang bagong employer ay hindi competitor sa dating employer.

  1. dati kang nagwork as cashier or waiter sa isang restaurant na ang tanging branch ay sa Riyadh lamang.. then bumalik ka ng saudi para magwork sa ibang restaurant na ang tanging branch ay sa Jeddah lamang.
  2. dati kang nagwork sa isang tailoring shop sa Riyadh na nagsupply ng damit sa buong KSA at bumalik ka ng Saudi para magwork sa isang tailoring shop sa Jeddah na nagsupply din ng pantalon sa buong KSA.
  3. dati kang beautician sa isang parlor sa Riyadh at bumalik ka ng Saudi para magwork sa ibang parlor na nasa Jeddah.

Kaya sa mga patapos na ang contract at halimbawa pinapirma kayo ng employer nyo na di kayo pwede babalik sa saudi, kung ang kasulatan ay hindi sang-ayon sa nakasaad sa batas, then ang kasulatan na yon ay HINDI TAMA.

halimbawa pinapirma kayo na di babalik ng Saudi sa loob ng three years, or five years or higit pa..

  • hindi yan sang-ayon sa batas dahil ang nakasaad sa Article 83 ay di ka pwede sa competitor lamang, walang nakasaad na di ka babalik sa saudi.
  • hindi yan sang-ayon sa batas dahil ang nakasaad sa Article 83 ay hindi lalagpas sa dalawang (2) taon lamang.

kaya, kung may pangayaring ganun at pinipilit kayo nilang pumirma, ipakita nyo ang graphics na ito at ipabasa sa kanila ang arabic na nakasulat.
